Mediation/Arbitration: Any unresolved dispute shall first be submitted to non-binding mediation in Bartow County, Georgia. If mediation fails, disputes shall be resolved by binding arbitration in Bartow County, Georgia, under the rules of the American Arbitration Association (AAA), with costs split equally unless the arbitrator determines bad faith. Judgment on the award may be entered in any court having jurisdiction.

Litigation: If arbitration is not applicable or waived, exclusive jurisdiction lies in the state or federal courts located in Bartow County, Georgia.

Prevailing party in any action may recover reasonable attorneys’ fees and costs.
